1. Acceptance of Terms

Welcome to TrueComps. These Terms of Service ("Terms") govern your access to and use of the TrueComps mobile application, website, and related services (collectively, the "Services") provided by TrueComps, Inc. ("TrueComps," "we," "us," or "our").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

2. Description of Services

TrueComps provides a technology platform that helps property owners:

• Analyze property tax assessments
• Identify comparable sales data
• Estimate potential tax savings
• File property tax appeals with local authorities
• Track the status of appeals

Our Services are designed to assist with property tax appeals but do not guarantee any specific outcome or tax reduction.

3. Eligibility

You must be at least 18 years old to use our Services. By using our Services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Services on behalf of a property owner, you represent that you have the authority to bind that property owner to these Terms.

4. Account Registration

To use certain features of our Services, you may need to create an account. When you create an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Maintain the security and confidentiality of your account credentials
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

5. Authorization and Representation

By using our Services to file a property tax appeal, you:

• Authorize TrueComps to act as your representative in property tax appeal matters
• Grant us permission to access public records related to your property
• Authorize us to communicate with county assessors and tax authorities on your behalf
• Confirm that you are the property owner or have authorization from the property owner
• Agree to provide accurate property information

You may revoke this authorization at any time by contacting us, though this may affect pending appeals.

6. Fees and Payment

TrueComps operates on a contingency fee basis for most services:

• No Win, No Fee: You only pay if we successfully reduce your property taxes
• Contingency Fee: Our fee is a percentage of your first year's tax savings
• Fee Disclosure: Specific fee percentages will be disclosed before you authorize an appeal

By authorizing an appeal, you agree to pay the applicable fees if your appeal is successful. Payment terms and methods will be communicated during the authorization process.

7. No Guarantee of Results

While we use data-driven methods to identify potential tax savings, we cannot guarantee:

• That your property taxes will be reduced
• Any specific amount of savings
• The outcome of any appeal
• The accuracy of estimated savings shown in the app

Appeal outcomes depend on many factors outside our control, including local tax laws, assessor decisions, and market conditions.

8. User Conduct

You agree not to:

• Provide false, misleading, or inaccurate information
• Use the Services for any unlawful purpose
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Services
• Reproduce, modify, or distribute our content without permission
• Use automated systems to access the Services without our consent
• Impersonate any person or entity

9. Intellectual Property

The Services and all content, features, and functionality are owned by TrueComps and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Services without our prior written consent.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, secure, or error-free, or that any defects will be corrected. We are not responsible for any errors in public records data or comparable sales information.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRUECOMPS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless TrueComps and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any rights of another.

13. Termination

We may terminate or suspend your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services will immediately cease. All provisions of these Terms that should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

14. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Services after any changes constitutes your acceptance of the new Terms.
